Confidentiality Agreement

The confidentiality agreement is used when a potential partner wants to obtain technical and other proprietary information about a Research Foundation (RF) invention. Both the RF and the potential partner sign the agreement to ensure that the information is treated in strictest confidence.

The independent contractor template is used to procure the services of an individual (sole proprietor) or firm possessing particular expertise, knowledge or services not otherwise capable of being provided by the RF.

Simple Letter Agreement for Research Materials
The letter agreement for research materials governs the transfer of tangible research materials (for example, biological materials or chemical compounds) between the RF and another organization when the recipient intends to use it for his or her own research purposes.

The agreement defines the rights of the provider and the recipient with respect to the materials and any derivatives.

Research Agreement
The research agreement is a boilerplate agreement that reflects RF policies and requirements and can be used for agreements with commercial and other institutions that do not have their own boilerplate.

It is generally used when a commercial entity wants to support research at a SUNY campus in return for preferential access and/or rights to intellectual property derived from research results.

Subcontract Agreement
The subcontract agreement is a contract subordinate to and derived from a prime contract that authorizes and assigns work to a third party entity. This template is primarily used as a basis for subcontracts issued from non-federal sources and reflects RF policies and requirements.
